the persons whose signature appears below hereby constitutes and appoints W.J.
Galvin, F.L. Steeves, T.G. Westman, V. A. Lazzaretti and J.G. Shively and each
of them, his or her true and lawful attorney-in-fact and agent, with full power
of substitution and resubstitution, for him or her and in his or her name, place
and stead, in any and all capacities, to sign a registration statement on Form
S-8 for the registration of shares of Emerson’s Common Stock (including
Preferred Stock Purchase Rights) and any and all supplements and amendments,
including post-effective amendments thereto, and to file the same, with all
exhibits thereto, and other documents in connection therewith, with the
